Terms & Conditions – Updated August 2025

These Terms are governed by Indian law, including the Drugs and Cosmetics Act, 1940, Medical Devices Rules, 2017, and other applicable regulations.

1. Scope

RiverHead BioSciences Private Limited (“the Company”) sells medical equipment and instruments to hospitals, clinics, laboratories, and other authorized buyers.

2. Compliance with Law

Buyers must ensure that they are authorized under Indian law to purchase and use the medical devices ordered. The Company reserves the right to request relevant licenses or permits before fulfilling orders.

3. Orders & Pricing

• Prices are inclusive/exclusive of GST as mentioned.
• Orders are processed only after receipt of payment (unless credit terms are agreed in writing).
• We reserve the right to cancel orders if buyer fails to provide necessary documentation or payment.

4. Delivery & Risk Transfer

• Risk of loss transfers to the buyer upon delivery.
• Delays caused by government clearances, customs, or regulatory checks are beyond our control.

5. Warranty

• Warranty is as per manufacturer/OEM terms.
• Any service or repair must be carried out by authorized personnel only.

6. Limitation of Liability

We are not liable for indirect or consequential damages. Liability is limited to the value of the product purchased.

7. Governing Law & Dispute Resolution

Disputes will be subject to exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
